For new clients, a common question is "Should I incorporate?" We review the choices – corporations, partnerships and limited liability companies (LLCs) – and the factors that influence the client’s decision. Our office can prepare Articles of Incorporation or Operating Agreements for the limited liability company. Often, this entire process is a team approach with client, accountant and attorney. Real EstateBuying or selling property, often a home, can be a complicated process and can require the advice and assistance of an experienced real estate attorney. We represent both buyers and sellers in real estate transactions. We will guide buyers through the process by drafting an Offer to Purchase, which is a legal contract that has critical deadlines and contingencies. We will assist the buyer through this process and help the buyer comply with all deadlines and contingencies. We will review an Offer to Purchase for sellers with a critical eye, as well as draft Counter-Offers when necessary. We can help our clients at any stage of a real estate transaction, from drafting the Offer to Purchase, to reviewing a previously-submitted Offer to Purchase, or reviewing closing documents; we are prepared to bring our expertise to any real estate transaction. We often assist clients in resolving problems that can arise in even the simplest real estate transaction. We also focus on giving our clients the best possible value in a real estate transaction. When requested by a client and with appropriate advance review, our attendance at closing is often unnecessary. Additionally, we can help coordinate the closing with the broker and/or title company to make the closing go as smoothly as possible. Our attorneys have worked with clients ready to sell farmland for development. This is a complicated process and requires experience in the land development area.
